Pre-Cell Solutions Merges with USIntellicom

Pre-Cell Solutions Inc., a CLEC that resells BellSouth Corp.’s
(www.bellsouth.com) local exchange services on a prepaid basis within Florida, has completed mergers with USIntellicom Inc., a provider of prepaid cellular handset technology and web-based customer support systems, and Pre-Paid Solutions Inc., a provider of prepaid cellular service and technology throughout the United States.

Pre-Cell issued 11.4 million shares of common stock to the USI shareholders in connection with the merger. USI will operate as a wholly owned subsidiary of Pre-Cell.

USI has developed analog and digital technology that allows cellular carriers and resellers to offer a handset-based prepaid cellular service to their subscribers.

Prepaid cellular service provides a solution to credit consumers who are unable to obtain traditional credit-based cellular service.
