Tellabs To Acquire Netcore Systems

Lisle, Ill.-based Tellabs and Wilmington, Mass.-based NetCore Systems Inc. have
announced an agreement for Tellabs to acquire NetCore in an all-stock deal valued at about
$575 million.

NetCore is a developer of carrier-class Internet protocol (IP) routing and asynchronous
transfer mode (ATM) switching solutions. Tellabs’ acquisition of the privately held
company will accelerate Tellabs’ ability to help service providers build a
next-generation, multiservice public network integrating data, voice and video.
